Welcome to Portaly Vibe!

These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of Portaly Vibe (the "Service"), a third-party subscription billing, payments and member management platform within the Portaly ecosystem, operated by Real Engine Co., Ltd. (also doing business as "Portaly", "us", "we", or "our"). Please read these Terms carefully before using our Service.

Your access to and use of the Service is predicated on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, creators, and developers (including "Vibe Coders") who wish to access or use our Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access our Service.

The materials contained in this website and the Service are protected by applicable copyright and trademark law. By using our Service, you agree to abide by all such laws and any additional copyright notices or restrictions contained in our Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of our Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to any of these Terms or to any future version of the Terms, do not use or access (or continue to access) our Service.

Account Terms

By using the Service, you represent and warrant that:

  1. Eligibility: You are at least 18 years of age, or if you are under 18, you are using the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The Service is not intended for and should not be used by anyone under the age of 13.
  2. Registration: To use the Service, you must sign in with a Portaly account and provide accurate, complete and updated registration, billing, and KYC information about yourself or the legal entity you represent. You may not use a name you do not have the rights to use or impersonate another person or brand.
  3. Account Security: You are responsible for maintaining the confidentiality of your account password, API keys and callback secrets. You are also responsible for all activities that occur in connection with your account or keys. You agree to notify us immediately of any unauthorized use and to rotate keys as appropriate. We reserve the right to close your account at any time for any or no reason.
  4. Account Use: Your account is personal to you or the legal entity you represent and may not be transferred to others. You may not use the Service in a way that violates any laws, infringes on anyone's rights, is offensive, or interferes with the Service or any features on the Service.
  5. Communications: By creating an account on the Service, you agree to receive transactional and service notifications, as well as newsletters, marketing or promotional materials that we may send. You may opt out of marketing communications by following the unsubscribe link or instructions provided in any email we send; service-related notifications are mandatory while your account is active.

Failure to comply with these Account Terms may result in immediate termination of your account and access to the Service, at our sole discretion. We may refuse to offer the Service to any person or entity and change our eligibility criteria at any time.

The Service

Portaly Vibe provides the following capabilities, subject to availability and your subscription level:

  1. Subscription plan management, including the ability to create fixed-price, pay-what-you-want, recurring and one-time plans via AI Agents (Skills) or the dashboard.
  2. Hosted checkout and recurring billing through our payment processor partners, including credit card authorization, tokenization, retries, refunds and reconciliation.
  3. Customer and member management via a REST API and Skills, including webhook notifications on subscription events.
  4. Electronic invoice issuance in compliance with Taiwan tax regulations (two-part or three-part invoices) on your behalf.
  5. Revenue analytics, MRR tracking, and optional Google Analytics 4 integration for traffic insights.

We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. Any intellectual property in the Service (excluding your content) remains the exclusive property of Portaly or our licensors. You may not remove, obscure, or alter any proprietary notices on the Service, nor make unauthorized copies, reverse engineer, decompile, or create derivative works from the Service.

By utilizing our Service, you grant Portaly the right to use the name, brand, logos and public plan descriptions you upload to the Service for the purposes of promoting Portaly Vibe (for example, case studies or customer lists). If you do not wish your brand to be used for such purposes, please contact us at support@portaly.cc and we will remove it within a reasonable period.

Fees, Payouts and Refunds

  1. You agree to pay the subscription fees and platform fees applicable to the plan you select, as disclosed in the Service. Fees are billed in advance on a recurring basis (monthly or yearly) until you cancel. You authorize us and our payment processors to charge your payment method for all applicable fees.
  2. Portaly Vibe collects end-customer payments on your behalf, deducts applicable platform fees, processor fees and taxes, and remits the balance to your designated bank account on a monthly settlement cycle. Exact payout timing is described in the Service; we may adjust settlement timing as required by our processors or by law.
  3. End-customer refunds are subject to the cooling-off period under Taiwan consumer protection law and any additional refund policy you publish. Processor fees for refunded transactions are non-recoverable and will be borne by you.
  4. If chargebacks, fraud, or regulatory investigations arise, we may withhold payouts and freeze the disputed amount until the matter is resolved.

Prohibited Use and Restricted Industries

To comply with our payment processor partners, card network rules and applicable law, you may not use the Service for any of the following:

  1. Adult content, pornography, escort services, unlicensed gambling, lotteries, or prediction markets.
  2. Sale of drugs, controlled substances, prescription pharmaceuticals, e-cigarettes or related accessories.
  3. Sale of weapons, ammunition, explosives or regulated military and police goods.
  4. Virtual currency exchanges, ICOs, crypto-asset advisory services, derivatives or any financial service not approved by the relevant financial authorities.
  5. Multi-level marketing, pyramid schemes, Ponzi schemes, guaranteed-return investment programs or high-risk investment courses.
  6. Counterfeit, infringing or illegal goods or services.
  7. Any activity that violates the laws of Taiwan or the jurisdiction of your end customers.

We may, at our sole discretion, suspend or terminate plans or accounts that we reasonably believe fall within these categories, and withhold or reverse funds as necessary to comply with our obligations.

User Generated Content and Prohibited Behavior

You may use the Service only in compliance with these Terms and for lawful purposes. You commit not to use the Service:

  1. In a manner that infringes any applicable local, national, or international laws or regulations.
  2. With the intention of exploiting, harming, or attempting to exploit or harm minors by exposing them to unsuitable content or in any other way.
  3. To send or propagate any unsolicited advertising or promotional material, including junk mail, chain letters, spam, or any other type of similar solicitation.
  4. To impersonate or attempt to impersonate Portaly, a Portaly employee, another user, or any other person or entity.
  5. In a way that infringes upon the rights of others or is illegal, threatening, fraudulent, harmful, or related to any unlawful, illegal, fraudulent, or harmful activity or purpose.
  6. To engage in any conduct that limits or impedes anyone's use or enjoyment of the Service, or which, in our judgment, could harm or offend Portaly or users of the Service or expose them to liability.

Furthermore, you agree not to:

  1. Utilize the Service in any way that could disable, overburden, damage, or hinder the Service or interfere with any other party's usage of the Service, including their ability to participate in real-time activities via the Service.
  2. Employ any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
  3. Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
  4. Use any device, software, or routine that interferes with the proper operation of the Service.
  5. Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the servers on which the Service is stored, or any server, computer, or database connected to the Service.
  7. Launch a denial-of-service attack or a distributed denial-of-service attack on the Service.
  8. Perform any action that may harm or falsify Portaly's rating.
  9. Otherwise attempt to interfere with the proper operation of the Service.

Privacy and Data Protection

Your privacy is of utmost importance to us. All information that we collect through your use of the Service is subject to our Privacy Policy, which is incorporated herein by reference. By using the Service, you consent to such collection and use of your information as outlined in our Privacy Policy.

As a Portaly Vibe merchant, you act as the data controller of your own customers' personal information, and Portaly acts as a data processor and / or joint controller, depending on the context. You are responsible for establishing a lawful basis for processing, publishing your own privacy policy to your customers, and responding to their data-subject requests.

Termination

We reserve the right to terminate or suspend your account, at our sole discretion, at any time and for any reason, including but not limited to non-payment of fees, suspected fraud, processor or regulatory requirements, or if we believe you have breached any of these Terms.

You are free to terminate your account at any time by canceling your subscription in the dashboard or by contacting our support team. Upon termination of your account, your right to use the Service will immediately cease, and all information associated with your account may be deleted at our discretion, subject to applicable legal retention obligations.

We will not be liable for any losses or damages arising from the termination of your account or the deletion of your information. We also reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at any time.

Governing Law

These Terms and Conditions are to be interpreted and applied in accordance with the laws of Taiwan, without giving effect to any principles of conflicts of laws. You and Portaly agree that the Taipei District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or in connection with these Terms or the Service.

Our lack of enforcement of any particular right or provision of these Terms should not be construed as a waiver of such right or provision. If a court of competent jurisdiction finds any provision of these Terms to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

Changes to the Terms and Conditions

Portaly reserves the right, at its sole discretion, to modify, revise, or replace these Terms and Conditions at any time. If we make changes that are material, we will provide you with appropriate notice before such changes take effect, either by posting a notification on our Service or by sending you an email. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Service.
